1. Introduction and Acceptance of Terms

Welcome to SolArena ("the Platform"). By accessing, browsing, minting assets, or using any services provided on the Platform, you ("the User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately cease all use of the Platform.

2. Eligibility and Restrictions

Use of the Platform is strictly limited to individuals who:

  • Are at least 18 years of age or the age of majority in their jurisdiction.
  • Do NOT reside in, are not citizens of, and are not located in restricted jurisdictions, including but not limited to the United States of America, North Korea, Iran, Syria, Cuba, Russia, and Belarus.
  • Are not subject to any international sanctions (OFAC, EU, UN).

3. Nature of Digital Assets (MiCA Article 4 & 5)

The Non-Fungible Tokens ("Cards") available on this Platform are categorized as Utility Tokens created for entertainment and gaming purposes within the SolArena ecosystem.

  • NOT Financial Instruments: These assets are not shares, bonds, securities, derivatives, or collective investment schemes.
  • NO Expectation of Profit: You acknowledge that you purchase these assets solely for consumptive use (gaming) and not for investment or speculation.
  • NO Rights to Revenue: Ownership of a Card does not confer any rights to dividends, revenue share, or governance of the Platform.

4. Game Mechanics & Anti-Gambling Declaration

The Platform is strictly a SKILL-BASED STRATEGY GAME.

  • No RNG (Random Number Generation) in Battles: Battle outcomes are determined purely by the deterministic stats of the cards (Attack vs Defense) and the player's strategic deck composition.
  • Not a Game of Chance: Success is not dependent on luck, dice rolls, or casino-style mechanics.
  • No Wager: Players do not stake funds on the outcome of a match. Rewards are distributed from a fixed prize pool allocated for community engagement.

5. Right of Withdrawal & Waiver (EU Consumer Rights Directive 2011/83/EU)

IMPORTANT NOTICE FOR CONSUMERS RESIDING IN THE EEA: The purchase of digital content not supplied on a tangible medium (such as NFTs) is subject to specific rules regarding the Right of Withdrawal. By clicking "Confirm & Pay" and proceeding with a transaction:

  1. You expressly consent to the immediate performance of the contract (delivery of the NFT to your wallet).
  2. You expressly acknowledge that by giving this consent, YOU LOSE YOUR RIGHT OF WITHDRAWAL once the download/minting process has begun. This waiver is a necessary condition for acquiring digital assets on the Platform, as blockchain transactions are irreversible.

5. Intellectual Property Rights

  • Platform IP: All underlying code, game mechanics, trademarks, and user interfaces are the exclusive property of SolArena.
  • NFT License: Subject to your compliance with these Terms, you are granted a worldwide, non-exclusive, non-transferable, royalty-free license to use, display, and perform the Art associated with your NFTs solely for:
    1. Your own personal, non-commercial use (e.g., in the game, in a virtual gallery).
    2. For the purpose of selling the NFT on a marketplace that cryptographically verifies ownership.
  • Commercial Use Prohibited: You may not use the Art for merchandise, media productions, or other commercial ventures without explicit written permission.

6. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. To the fullest extent permitted by law, SolArena disclaims all warranties, express or implied. We shall not be liable for:

  • Any loss of funds due to user error (e.g., lost private keys, wrong address transactions).
  • Protocol-level failures on the Solana blockchain (e.g., congestion, outages, forks).
  • Any unauthorized access to your wallet or device.
  • Any financial loss resulting from the volatility of digital assets.

7. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of [Insert Jurisdiction, e.g., Ireland/Malta]. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of [Insert Jurisdiction].

8. Amendments

We reserve the right to modify these Terms at any time. Significant changes will be communicated via the Platform. Continued use after changes constitutes acceptance.
